Welcome to AL-HADEED MANUFACTURING & TRADING PVT LTD (“AL-HADEED”). These Terms of Use govern your access to and use of our website, products, software, mobile apps, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Please also review our Privacy Policy and Returns & Warranty, which are incorporated by reference.
Accounts & Access
- Eligibility: You must be at least the age of majority in your jurisdiction and legally capable of entering into contracts.
- Account Security: You are responsible for maintaining the confidentiality of credentials and for all activities under your account. Notify AL-HADEED immediately of suspected unauthorized use.
- Authorized Use: Access is limited to your internal business purposes and in accordance with these Terms and applicable laws.
- Devices & Installation: Where hardware is installed on vehicles/assets, you are responsible for obtaining consents, ensuring lawful installation, and informing drivers or personnel as required by law.
- Suspension: We may suspend or restrict access if we detect misuse, security risks, non-payment, or legal/regulatory concerns.

Licenses & Intellectual Property
- License: Subject to these Terms, AL-HADEED grants you a limited, non-exclusive, non-transferable license to access and use the Services during a valid subscription term.
- Ownership: The Services, software, documentation, and all related intellectual property are owned by AL-HADEED and its licensors. No rights are granted except as expressly stated.
- Customer Data: You retain ownership of your data. You grant AL-HADEED a license to host, process, and display your data as necessary to provide and improve the Services, subject to our Privacy Policy.
- Feedback: You may provide ideas or suggestions. We may use them without restriction or obligation.

Acceptable Use & Restrictions
You agree not to: (a) violate laws or third-party rights; (b) reverse engineer, decompile, or attempt to access source code; (c) bypass security or usage limits; (d) upload malware or interfere with the Services; (e) share non-public features or performance tests; (f) use the Services for unlawful tracking, surveillance without consent, or unsafe driving practices; (g) resell or sublicense except as expressly permitted.
Compliance: You are responsible for compliance with driver privacy laws, telematics regulations (including AIS-140 where applicable), and road-safety rules. Use geofencing, driver monitoring, and alerts responsibly.

Fees, Subscriptions & Taxes
- Plans & Billing: Fees are stated at purchase or order. Subscriptions are billed in advance for the term selected.
- Renewals: Unless otherwise stated, subscriptions renew automatically at the then-current rates. You can manage renewal settings before the renewal date.
- Late/Non-Payment: We may suspend Services for overdue amounts. Interest or reactivation fees may apply as permitted by law.
- Taxes: Prices exclude taxes unless stated. You are responsible for applicable GST and other taxes.
- Refunds: Hardware returns and limited warranties are governed by Returns & Warranty. Subscription fees are non-refundable unless required by law.
- Renewals: Unless otherwise stated, subscriptions renew automatically at the then-current rates. You can manage renewal settings before the renewal date.

- Support Scope: We provide documentation, email support, and reasonable assistance during business hours.
- Targets: We aim for high availability and timely responses; targets are goals, not guarantees. Planned maintenance and third-party outages may affect availability.
- Exclusions: Issues caused by your networks, devices, misuse, or third-party providers are excluded.
- Your Duties: Maintain compatible devices, timely updates, and safe installation. Provide logs and cooperation for troubleshooting.
- Status & Policies: Refer to the Support page for current status and policies.
- Targets: We aim for high availability and timely responses; targets are goals, not guarantees. Planned maintenance and third-party outages may affect availability.
- Exclusions: Issues caused by your networks, devices, misuse, or third-party providers are excluded.

Third-Party Services & Integrations
The Services may interoperate with third-party software, devices, maps, or carriers. Your use of third-party services is subject to their terms and privacy practices. AL-HADEED is not responsible for third-party content, performance, or outages. We may share limited data with third parties to enable integrations or delivery of features, as described in our Privacy Policy.
Warranties & Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, AL-HADEED AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, error-free, or perfectly accurate operation (including GPS accuracy), and are not liable for delays or failures due to factors beyond our control (e.g., networks, satellites, carriers, or weather). Your statutory rights are not affected where they cannot be excluded.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) AL-HADEED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. These limits apply regardless of the legal theory and even if we have been advised of the possibility of such damages.
Indemnity
You will defend, indemnify, and hold harmless AL-HADEED, its affiliates, directors, and employees from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from or relating to: (i) your data or content; (ii) your breach of these Terms; (iii) your violation of law or third-party rights; or (iv) use of the Services in combination with equipment or software not provided by AL-HADEED where the claim would not have arisen but for such combination.
Suspension & Termination
We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees, or if required by law. You may terminate by providing notice per your order terms. Upon termination, your right to access the Services ends; you must cease use and, where applicable, remove or return hardware not purchased outright. We may retain and/or delete data in accordance with our Privacy Policy and legal obligations.
Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any mandatory statutory provisions, the courts located in Chennai, Tamil Nadu shall have exclusive jurisdiction over disputes arising out of or relating to the Services or these Terms. Before filing suit, the parties will seek to resolve disputes in good faith, including a 30-day informal resolution period after written notice.
Changes to These Terms
We may update these Terms to reflect changes in our Services, business, or legal requirements. If changes are material, we will provide reasonable notice (e.g., by email or in-product notice). The updated Terms take effect on the stated effective date. Your continued use after the effective date constitutes acceptance. If you do not agree, discontinue use before the effective date.
